TERMS OF SALE
APPLICATION. These general conditions are applicable to any sale or service described in our leaflets, price lists, advertisements, quotes, Internet or verbally. Any modification will be made in writing, by TECHNO SUN UK LTD. Any other terms or conditions will be excluded. Your order assumes the acceptance of these General Conditions. TECHNO SUN UK LTD at any time reserves the right to modify its General Conditions.
ORDERS/CONTRACTS. Orders will be made in writing, email, telephone or fax and will only be binding once accepted by TECHNO SUN UK LTD through a confirmation of the order by any of the means of communication above described. You have to verify the confirmation of the order and then notify us any error immediately. Otherwise, the product description in the order confirmation will come into effect in this contract and therefore it will be binding for both buyer and seller.
PRICES AND TERMS OF PAYMENT. The quotes of economical offers will only be valid in writing and during the indicated period. If there was no specified period, this will be of 30 days (10 for third party products). TECHNO SUN UK LTD reserves the right of supplying products that are different to those requested (even third party products) at any time guaranteeing that the functions, features and functioning of the delivered products are equivalent to those requested.
The Price of the product and payment conditions will be established in the order confirmation. The price excludes VAT, delivery cost, insurance and installation and structures. The types of currency exchange, tariff, insurance and costs of production (including that of components and services) can effect into TECHNO SUN UK LTD changing its prices. The payment will be made at the time of making the order or in the conditions established in the order confirmation. TECHNO SUN UK LTD can suspend the delivery of the good or service until its total payment. In case of delayed payment , the costs of recuperation will be charged. A moratorium interest of 1% will be applied over the owed quantity by each month that the mentioned quantity remains unpaid, from the payment due date until its total payment.
TECHNO SUN UK LTD reserves the right to require previous approval to the debits in credit cards or payment and/or the bank certification of cheques.
DELIVERY/ TITLE/RISK. The delivery will be made within the indicated period in the order confirmation. Deliveries can be made in parts. The place of delivery is indicated in the order confirmation. TECHNO SUN UK LTD reserves its right to recover the property over the product in case of loss of total or partial payment. Up to the total payment of the product, you will not be able to sell or tax the product. If you reject the delivery without previous approval, resulting expenses or damages will be covered by yourself, including storage until its acceptance.
- ACCEPTANCE. You will have to examine the product immediately after the delivery within 48 hours, for its inspection or rejection. Once this period has passed, it will be considered that you have accepted the product. If you have a right to return the product and you return it, you will return it in the original condition with its packaging, return note and receipt of payment. The costs of the refund will be covered by you unless there is a justification for the refund in terms of the product guarantee included in the package.
- If the order was made at a distance via internet, mail, telephone sale or via catalogue, you will be entitled to a refund of the product without the need of expressing the cause within the 5 following days to the delivery. Charges and costs of such refund will be covered by the client.
GUARANTEES. Guarantees are included in the Guarantee Policy that is delivered with the product/s and it will be governed by what is established in this document unless the following: we guarantee that the product (excluding third party products) is free from defects within the following 12 following months after delivery, being this one of 90 days, from its installation, for pieces that have to be swapped. If the product was faulty during these period, TECHNO SUN UK LTD will fix it or substitute it in a reasonable period. You will allow that TECHNO SUN UK LTD examines at our choice, the product in its location or TECHNO SUN UK LTD is the owner of the replaced pieces and of the spare parts. TECHNO SUN UK LTD will pay the necessary attention to solve problems in an adequate period according to circumstances.
TECHNO SUN UK LTD does not guarantee nor take responsibility for:
- Damages caused by incorrect installation, use, modification or reparation made by a third party not duly authorized or by yourself.
- Suitability of the product for an end, purpose or particular use.
- Any instruction given by you and correctly made by TECHNO SUN UK LTD.
The responsibility of TECHNO SUN UK LTD by any violation of this guarantee, to its commitment to services, or by any other concept, in any case will exceed the price of the established product in the order confirmation.
SERVICES. Once the provision of the services is agreed, they will be rendered by TECHNO SUN UK LTD. The times of reply are estimate and can vary according to place/location or accessibility to the product. The service can be provided via telephone or internet whenever it is appropriate. If it is agreed and had it been indicated in the order confirmation, the service order can include assessment, labeling, installation, integration, withdraw, formation and/or enquiry.
EXPORT CONTROL. The product can include technology and software subject to export control laws of the U.S, and the country in which is delivered or used. These have to be obeyed by you. The product can not be sold, rent or transfer to end users or countries which may be restricted by laws or users involved in massive destruction armaments or genocide. The restrictions to the U.S frequently vary, depending on the product. Therefore, you will have to refer to regulations that are in force in the U.S and in each case.
FORCE MAJEURE. We do not take responsibility for delays (including deliveries or services) cause by circumstances that are out of our reasonable control and we will have a right in the given case of an extension for its execution; as an example of this circumstances but without limiting character, included are: strikes, transport problems, supply or production, fluctuations of types of exchange, government action and natural disasters. If the cause was to last for over two months, this agreement can be solved by any part, without a right to compensation.
CONFIDENTIALITY. Both parts will treat all information received from the other that is marked as "confidential" or that it can be considered reasonably as confidential, just as they would treat their own confidential information.
RESOLUTION. TECHNO SUN UK LTD will be able to disregard this contract by previous written notice if: 1) the price is not paid on time, which effect, the parties expressly agree that the non payment or partial payment will result in the cancellation of the contract of full rights; 2) You infringe or TECHNO SUN UK LTD suspects that you have infringed laws about exportation control. Any of the parts can solve this contract if the other: 1) breaches in a material and persistent form this agreement and does not remedy such breach of contract within the 30 days following to be required by written statement in effect; o 2) is declared in temporary receivership, bankruptcy proceeding, or it can not pay its debts at expiry date. TECHNO SUN UK LTD will be able to opt by demanding the execution of the buyer´s obligation to pay the price and in any case demand compensation for any damages.
CUSTOMER OBLIGATIONS. You will respond by:

You will address our staff with enough courtesy and you will facilitate sufficient information, cooperation and a access to allow TECHNO SUN UK LTD to fulfill with its commitments. On the contrary, we will remain exempt from our obligations.
DATA PROTECTION. Your data will be treated according to applicable data protection laws to which you will give express consent. You can request that we don´t use your data for direct marketing. You will be able to exercise your rights of access, rectification and cancellation through written communication to the address of TECHNO SUN UK LTD.
CONSUMER RIGHTS: If you are a consumer, no disposition in this contract will affect in any way to the dispositions of public order law regarding consumer rights.
JURISDICTION. The present conditions will be in force by UK law.
For the resolution of any queries, discrepancies or divergences that could be caused in the fulfillment and interpretation of the present Contract, the parts have to comply with the Courts and Tribunals of the city of London, with renunciation to any other that could be applicable.
VARIOUS. If any disposition in this contract was to be declared as invalid or non applicable by a court, the rest of the dispositions will be unaffected. TECHNO SUN UK LTD can subcontract its obligations to third parties. None of the parties can give or transfer any of the obligations or rights. Notifications must be made in written (by hand, email, fax or recorded delivery) and sent to the representative of the other part.
